Terms of Use

These Terms of Use ("Terms") are a legally binding agreement between SwipePro LLC, an Alabama limited liability company ("SwipePro," "we," "us," or "our"), and you ("you" or "User").

These Terms govern your access to and use of SwipePro's website(s), mobile application(s), and related software, tools, and services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms and the SwipePro Privacy Policy. If you do not agree, do not use the Platform.

1. Eligibility and Authority

You must be at least eighteen (18) years old and capable of forming a binding contract under applicable law. If you use the Platform on behalf of a business or legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.

2. Nature of the Platform

SwipePro provides a software platform only.

SwipePro is NOT:

  • A bank
  • A money transmitter
  • A payment network
  • A financial institution
  • The merchant of record for any transaction

Users of the Platform are independent businesses and are solely responsible for the goods and services they provide to their customers.

3. Payment Processing and Stripe

Payment processing services are provided by third-party processors, including Stripe, Inc. and its affiliates ("Payment Processors").

SwipePro does NOT:

  • Control payment authorization decisions
  • Control settlement timing
  • Control reserves, holds, reversals, or chargebacks
  • Guarantee transaction approval or payout timing
  • Have access to or store full payment card numbers

You acknowledge and agree that:

  • You are the merchant of record for all transactions
  • You are solely responsible for your customers, pricing, refunds, disputes, taxes, and regulatory compliance
  • You are bound by the Payment Processor's terms of service and policies
  • SwipePro bears no liability for Payment Processor actions, decisions, or policies

4. Fees and Payments

SwipePro platform fees are disclosed within the Platform. You are responsible for all applicable fees, including:

  • SwipePro platform fees
  • Payment Processor fees
  • Any applicable taxes on fees

SwipePro may modify fees with thirty (30) days' advance notice. Continued use of the Platform after fee changes constitutes acceptance. Platform fees are non-refundable except as required by law.

Processing fees are not fixed and may vary on a per-transaction basis based on factors including, but not limited to, card type, issuing bank, rewards level, payment method, transaction size, and network or processor assessments. SwipePro does not control, set, or guarantee interchange or network fees imposed by Payment Processors.

5. Account Registration and Security

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Safeguard your account credentials
  • Be responsible for all activity that occurs under your account
  • Immediately notify SwipePro of any unauthorized access

SwipePro may suspend, limit, or terminate accounts suspected of fraud, in violation of these Terms, or as required for risk mitigation or legal compliance.

6. User Responsibilities

You agree to:

  • Provide accurate and current information at all times
  • Comply with all applicable federal, state, and local laws and regulations
  • Comply with all Payment Processor rules and PCI-DSS standards
  • Use the Platform only for lawful business purposes
  • Maintain appropriate records for tax and regulatory purposes
  • Respond promptly to customer disputes and chargebacks
  • Cooperate with identity verification, fraud prevention, and AML compliance

7. Tax Responsibilities

You are solely responsible for:

  • Determining what taxes apply to your transactions (sales tax, VAT, income tax, etc.)
  • Collecting and remitting all applicable taxes
  • Filing all required tax returns and reports
  • Maintaining records for tax compliance

SwipePro does NOT provide tax advice, calculate, collect, or remit taxes on your behalf, or bear any responsibility for your tax obligations. Consult a qualified tax professional for guidance.

8. Prohibited Uses

You may NOT use the Platform to:

  • Engage in any illegal, deceptive, or fraudulent activity
  • Sell prohibited or restricted goods or services
  • Reverse engineer, decompile, or bypass security features
  • Interfere with Platform operation or infrastructure
  • Access other users' data without authorization
  • Transmit viruses, malware, or harmful code

Prohibited Business Types include:

  • Illegal products or services
  • Adult content and services
  • Gambling and betting (unless properly licensed)
  • Weapons, ammunition, and explosives
  • Controlled substances and drug paraphernalia
  • Counterfeit or stolen goods
  • Multi-level marketing and pyramid schemes
  • Any business prohibited by Stripe's Restricted Businesses list

9. Intellectual Property

The Platform, including all software, source code, designs, text, graphics, logos, trademarks, and content, is owned by or licensed to SwipePro LLC. All rights are reserved. "SwipePro" and associated logos are trademarks of SwipePro LLC. These Terms do not grant you any ownership rights in the Platform. You receive only a limited, revocable, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.

10. Suspension and Termination

Termination by You: You may terminate your account at any time by contacting admin@swipeproapp.com.

Termination by SwipePro: SwipePro may suspend, limit, or terminate your access at any time, with or without cause, including for violation of these Terms, risk mitigation, or legal compliance.

Effect of Termination: Your license to use the Platform immediately ends. Outstanding obligations (fees, indemnification, etc.) remain in effect. SwipePro may retain your data as required for legal compliance.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

SWIPEPRO EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR RELIABILITY, UNINTERRUPTED OR ERROR-FREE OPERATION, AND SECURITY OR FREEDOM FROM VIRUSES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

SWIPEPRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: Loss of profits, revenue, or business; Loss of data or goodwill; Business interruption; Cost of substitute services.

SWIPEPRO'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: ONE HUNDRED DOLLARS ($100.00), OR THE TOTAL AMOUNT YOU PAID TO SWIPEPRO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless SwipePro LLC, its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: your use of the Platform, your business activities and transactions, payment disputes and chargebacks, your violation of these Terms or any applicable law, and any claim by your customers, employees, or contractors.

14. Dispute Resolution and Arbitration

Informal Resolution: Before initiating formal dispute resolution, you agree to contact SwipePro at admin@swipeproapp.com and attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration: If informal resolution is unsuccessful, all disputes shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) in Jefferson County, Alabama.

CLASS ACTION WAIVER: YOU AND SWIPEPRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

15. Limitation Period

Any claim or cause of action arising from or relating to these Terms or the Platform must be filed within one (1) year after such claim arose, or it shall be permanently barred.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict-of-law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Jefferson County, Alabama.

17. Changes to Terms

SwipePro reserves the right to modify these Terms at any time. Material changes will be posted on the Platform with an updated "Last Updated" date. We may also notify you via email or in-app notification. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.
